Terms & Conditions
These Terms & Conditions govern your use of all Software-as-a-Service (SaaS) products provided by SylverTide, including but not limited to eFlow2u, ePay2u, and any future products.
Note: These Terms & Conditions constitute a legally binding agreement between you and SylverTide Please read them carefully before using our services.
By using any SylverTide SaaS product, you acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions.
If you do not agree to these terms, please do not access or use our services.

Acceptance of Terms
By accessing, registering for, or using any SaaS product provided by SylverTide ("SylverTide", "we", "us", or "our"), you ("User", "Customer", or "you") agree to comply with and be legally bound by these Terms & Conditions, our Privacy Policy, and any other policies referenced herein.
If you are using our services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

Definitions
- "Platform" refers to any SylverTide SaaS product, including websites, applications, and services.
- "User" means any individual or entity that accesses or uses our Platform.
- "Content" includes all information, data, text, software, photographs, graphics, messages, or other materials submitted to the Platform.
- "Services" refers to the specific SaaS product(s) you are using, such as eFlow2u for project management or ePay2u for payment processing.

Services Description
SylverTide provides various Software-as-a-Service (SaaS) products designed for specific business needs:
- eFlow2u: A project management platform for engineering and construction projects, facilitating reporting, documentation, and workflow management.
- ePay2u: A payment gateway platform that enables merchants to accept payments via credit cards, debit cards, and other supported payment methods.
- Other Products: SylverTide may introduce additional SaaS products in the future, which will be governed by these Terms.
For ePay2u, all payments are processed securely using Stripe, a PCI DSS Level 1 certified payment processor. By using ePay2u, you also agree to be bound by Stripe's Services Agreement and Privacy Policy.

Account Registration
To access our Services, you must register for an account and provide accurate, current, and complete information as prompted during the registration process.
You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized use of your account
SylverTide reserves the right to refuse service, terminate accounts, or remove content at our discretion.

User Responsibilities
You agree to use our Services solely for legitimate business purposes and in compliance with all applicable laws and regulations.
You must not:
- Use the Platform for any illegal or unauthorized purpose
- Attempt to gain unauthorized access to any part of the Platform
- Interfere with or disrupt the integrity or performance of the Platform
- Upload, post, or transmit any content that is unlawful, harmful, or infringes on any third-party rights
- Use the Platform to transmit malware or malicious code
For ePay2u users, you must comply with Stripe's Acceptable Use Policy and any other applicable Stripe terms.

Data Submission & Accuracy
You are solely responsible for the accuracy, quality, and legality of all Content you submit to the Platform.
For eFlow2u users, this includes ensuring that all project reports, documentation, and photographs are accurate, complete, and comply with project requirements. False, misleading, or fraudulent submissions are strictly prohibited.
You retain ownership of your Content but grant SylverTide a worldwide, non-exclusive license to use, store, and process your Content solely for the purpose of providing the Services to you.

Payment Processing
Applicable to ePay2u and other payment-related services:
All payments are processed securely using Stripe, a PCI DSS Level 1 certified payment platform. You authorize SylverTide and Stripe to process transactions on your behalf and to deduct applicable fees as per your selected plan.
Settlement of funds will be made to your designated bank account according to our payout schedule. You are responsible for providing accurate banking information and maintaining the security of your payment processing account.
Merchants using ePay2u are responsible for handling customer refund requests in accordance with their own policies and applicable laws. In the event of a chargeback, SylverTide reserves the right to deduct the chargeback amount and any associated fees from your account.

Fees and Charges
Fees for our Services are detailed on our pricing pages and during the registration process. This may include:
- Subscription fees for platform access
- Transaction fees for payment processing (ePay2u)
- One-time activation or setup fees
- Other service fees as disclosed
SylverTide reserves the right to revise fees with 30 days' prior notice. Continued use of the Services after fee changes constitutes acceptance of the new pricing.
All fees are exclusive of taxes, and you are responsible for paying any applicable taxes related to your use of our Services.

Intellectual Property
SylverTide owns all rights, title, and interest in and to the Platform, including all software, technology, designs, and content created by us, excluding your Content.
You retain ownership of your Content but grant SylverTide a non-exclusive, worldwide, royalty-free license to use, store, and display your Content solely for the purpose of providing the Services to you.
You may not copy, modify, distribute, sell, or lease any part of our Services or included software, nor may you reverse engineer or attempt to extract the source code of that software, unless laws prohibit these restrictions or you have our written permission.

Privacy & Data Protection
We are committed to protecting your privacy and personal data. Our Privacy Policy explains how we collect, use, and protect your information.
By using our Services, you consent to the collection and use of your information as described in our Privacy Policy.
We implement appropriate technical and organizational measures to protect your data against unauthorized access, alteration, disclosure, or destruction.
For users subject to data protection regulations (such as GDPR), we offer a Data Processing Agreement that outlines our responsibilities as a data processor. Please contact us if you require such an agreement.

System Availability & Maintenance
We strive to maintain high availability of our Services but do not guarantee uninterrupted access. The Platform may be subject to scheduled maintenance or experience unexpected downtime.
SylverTide is not liable for any loss of data, revenue, or business opportunities due to service interruptions, maintenance, or force majeure events.
We recommend that you regularly backup your Content and maintain independent copies of critical data.

Limitation of Liability
To the maximum extent permitted by law, SylverTide shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:
- Your access to or use of or inability to access or use the Services
- Any conduct or content of any third party on the Services
- Any content obtained from the Services
- Unauthorized access, use, or alteration of your transmissions or content
Our total liability to you for all claims arising out of or relating to these Terms or your use of the Services will not exceed the total fees paid by you to SylverTide in the twelve (12) months preceding the claim.

Termination
You may terminate your account at any time by contacting our support team or through account settings where available.
SylverTide may suspend or terminate your access to the Services at any time for violation of these Terms, for security reasons, or for any other reason at our discretion, with or without notice.
Upon termination, your right to use the Services will immediately cease. We may permanently delete your account and all associated Content after a reasonable period, unless legally required to retain it.

Modifications to Terms
SylverTide reserves the right to modify these Terms & Conditions at any time. We will provide notice of significant changes through the Platform, by email, or by other reasonable means.
Your continued use of the Services after such modifications constitutes your acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Services.

Governing Law & Dispute Resolution
These Terms & Conditions are governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law principles.
Any disputes arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of Singapore.
Before filing a claim, you agree to try to resolve the dispute informally by contacting us first. We will try to resolve the dispute informally within 30 days.
Acceptance Acknowledgment
By using any SylverTide SaaS product, you acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions.
